Anthropic Commits 5% of Its Shares to a New Public Benefit Fund

A ledger entry in the industry archive, dated 2026-10-18.

Summary

On October 18, 2026, Anthropic announced the Anthropic Public Benefit Fund, a new wholly owned LLC to which it committed 5% of its shares, subject to stockholder approval. The board may add up to 2% more for every 50% increase in the company's value above a baseline that has not been disclosed. Anthropic said that, combined with earlier founder and employee equity pledges, roughly 20% of its shares would be dedicated to the public good, and that it would publish the fund's governance and valuation milestones in the coming months.

What Happened

Anthropic published the announcement, "Investing in the public benefit," on its website on Sunday, October 18, and posted a summary on X at 18:07 UTC the same day. The company said most of its public benefit work, including safety and interpretability research, applied biomedical research and discounted Claude access for nonprofits and scientific institutions, would stay inside the company because it also has commercial value. The fund was meant to give it "increased flexibility and scale," for example through "large donations to traditional nonprofits or direct distributions to specific populations."

The announcement named the labor market as one area the fund could address. It said AI "could also cause instability for many workers" and that "given the pace of AI progress, bolder approaches may be needed." TechCrunch noted that Anthropic had already committed $200 million to studying AI's effects on employment.

Anthropic said it chose an LLC rather than a 501(c)(3) or other format "to give adjustability between different forms of giving," and that none of the Anthropic equity held by the LLC would be used for lobbying or political giving in the US or abroad. It contrasted the escalating structure with executive pay: "It is common practice for tech companies to offer escalating compensation awards to their executives. We are instead directing that equity to the public benefit."

The post placed the fund alongside two existing commitments. At Anthropic's founding, its co-founders pledged to donate 80% of their equity holdings, and the company runs an equity donation match program in which, it said, about half of its employees participate. Anthropic did not say who would decide how the fund's assets are used, what the valuation baseline is, or when stockholders would vote; it said it would report on these and on its progress against its mission in an upcoming public benefit report.

TechCrunch reported the announcement on October 18, and Semafor and NBC News followed on October 19. NBC News reported that Elon Musk replied on X that Anthropic should give shares "directly to the public," and on October 19 posted that he would give one of his SpaceX shares "to every kid in America" the following year.

Why It Matters

Anthropic and OpenAI, both of which have filed confidentially for IPOs, now each have a large block of their equity assigned to a vehicle with a public purpose. In October 2025 OpenAI completed its restructuring with the nonprofit OpenAI Foundation holding 26% of the for-profit company and the power to appoint its board. Anthropic's fund differs in that it is a wholly owned subsidiary of the company it holds shares in, and the announcement gave it no governance role over Anthropic. Measured against the $965 billion post-money valuation of Anthropic's May 2026 Series H, 5% would be roughly $48 billion; Anthropic gave no dollar figure.

The announcement came four and a half months after Anthropic's confidential S-1 submission, and outlets placed it in the context of public opinion on AI. Semafor described it as an effort by frontier labs "to head off political backlash over the technology's impact on jobs and society," and NBC News cited polls showing majorities of Americans more worried than excited about AI. Whether the fund distributes money at the scale its share count implies depends on the stockholder vote, the undisclosed baseline, board discretion over additional contributions, and governance terms that had not been published when the fund was announced.
